1. Agreement to Terms

By accessing or using the Asandr platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Asandr is a platform that connects brands with creators and influencers for marketing campaigns and collaborations.

2. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. You may register as a brand or as a creator/influencer. You are responsible for providing accurate information and keeping your account credentials secure. You are responsible for all activity under your account.

3. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations.
• Impersonate any person or entity or misrepresent your affiliation.
• Submit false, misleading, or fraudulent information in profiles or campaigns.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to gain unauthorized access to any part of the Service or other accounts.
• Use the Service to distribute spam, malware, or harmful content.
• Scrape or harvest data from the Service without our written permission.

4. Campaigns and Collaborations

Brands and creators use Asandr to discover each other, agree on campaign terms, and manage collaborations. Any agreement between a brand and a creator (including payment terms, deliverables, and deadlines) is between those parties. Asandr facilitates the connection but is not a party to such agreements unless otherwise stated. We may provide tools for payments and dispute resolution; additional terms may apply to those features.

5. Content and Intellectual Property

You retain ownership of content you submit (e.g., profile information, campaign briefs, creative work). By submitting content, you grant Asandr a license to use, display, and distribute it as necessary to operate the Service. You represent that you have the right to grant this license and that your content does not infringe any third-party rights. Asandr and its branding, design, and technology remain our property.

6. Fees and Payments

Some features of the Service may be subject to fees. We will disclose any applicable fees before you incur them. You are responsible for any taxes that apply to your use of the Service or to payments you make or receive through the platform. Refund and cancellation policies will be stated where relevant (e.g., for subscriptions or paid features).

7. Termination

We may suspend or terminate your account or access to the Service at any time for violation of these Terms, fraud, abuse, or for any other reason at our discretion. You may close your account at any time through your account settings. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g., indemnification, limitations of liability) will survive termination.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF USERS, THE QUALITY OF CAMPAIGNS OR CONTENT, OR ANY TRANSACTIONS BETWEEN BRANDS AND CREATORS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASANDR AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless Asandr and its affiliates, officers, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.

11. Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via email or a notice in the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

12. General

These Terms constitute the entire agreement between you and Asandr regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not waive that right. These Terms are governed by the laws of the jurisdiction in which Asandr operates, without regard to conflict of law principles.
